These Terms of Service ("Terms") govern your access to and use of the website located at accredconsulting.com (the "Site"), operated by Accred Products, LLC, doing business as Accred Consulting ("we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.
These Terms apply to use of the Site only. Professional consulting engagements are governed by a separate, individually negotiated proposal and/or Statement of Work ("SOW") executed between you and Accred Products, LLC. In the event of any conflict between these Terms and a signed proposal or SOW, the proposal or SOW controls with respect to the engagement.

The scope, deliverables, timeline, and fees for any specific consulting engagement are defined exclusively in a signed proposal or SOW. Nothing on this Site constitutes a binding offer to provide services at any particular price or on any particular timeline.
You may access and use the Site for lawful purposes only, including learning about our services, contacting us with a business inquiry, and reviewing publicly available information about Accred Consulting. Personal, non-commercial use of Site content for reference is permitted provided you do not reproduce, republish, or redistribute it.

By submitting information through our contact form, you represent that the information you provide is accurate to the best of your knowledge and that you have authority to submit an inquiry on behalf of any organization you represent. Submission of the contact form does not create a contractual relationship or obligation between you and Accred Consulting. We reserve the right to decline any engagement inquiry at our sole discretion.
All content on this Site — including text, graphics, logos, service descriptions, page design, and code — is the property of Accred Products, LLC or its content licensors and is protected by applicable US copyright, trademark, and intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any Site content without our prior written permission.
Upon full payment of all fees due under a signed proposal or SOW, Accred Products, LLC assigns to the client all rights, title, and interest in and to the specific deliverables created and delivered under that engagement, to the extent such deliverables are custom work product developed solely for that client.
Notwithstanding the foregoing, Accred Products, LLC retains all rights in and to its proprietary methodologies, frameworks, processes, templates, tools, scripts, and pre-existing intellectual property ("Background IP") used in the course of delivering services, even where such Background IP is incorporated into or used to produce a client deliverable. To the extent Background IP is incorporated into a deliverable, we grant the client a perpetual, non-exclusive, royalty-free license to use it solely in connection with the deliverables provided under the applicable engagement.
We also retain the right to use skills, knowledge, experience, and general know-how developed in the course of performing services, provided we do not disclose client confidential information in doing so.
Many consulting engagements involve third-party software, platforms, and services (including Microsoft products) that are subject to their own licensing terms. Clients are responsible for maintaining valid licenses for any third-party software used in their environments. Accred Consulting does not sublicense any third-party software or convey any intellectual property rights belonging to third parties.
THE SITE AND ALL CONTENT PROVIDED ON IT ARE OFFERED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ACCRED PRODUCTS, LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
While we make reasonable efforts to keep Site content accurate and current, we make no representations or warranties regarding the completeness, accuracy, reliability, suitability, or availability of any information presented on the Site. Information on the Site is provided for general informational purposes only and does not constitute professional, legal, financial, or technical advice. Specific advice applicable to your situation will only be provided within the scope of a signed engagement.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ACCRED PRODUCTS, LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR ANY INFORMATION CONTAINED THEREIN, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO USE OF THE SITE (NOT RELATED TO A SPECIFIC CONSULTING ENGAGEMENT) SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).
For claims arising out of a specific consulting engagement governed by a signed proposal or SOW, liability is limited as set forth in that agreement. In the absence of specific liability terms in the applicable agreement, our total aggregate liability for all claims related to an engagement shall not exceed the total fees paid by the client to Accred Products, LLC under that specific engagement during the twelve (12) months preceding the claim.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full. In such cases, our liability will be limited to the greatest extent permitted by applicable law.
All professional IT consulting services provided by Accred Products, LLC are governed by the terms of a separately negotiated and signed proposal, Statement of Work, or service agreement. These Site Terms do not modify, replace, or supplement any such agreement.
Key aspects of consulting engagements — including scope of work, payment terms, confidentiality obligations, change order procedures, acceptance criteria, and project-specific liability provisions — are addressed within individual engagement documents. We encourage all prospective clients to review proposal and SOW documents carefully before executing them.
Nothing in these Terms creates an employment relationship, partnership, joint venture, or agency relationship between you and Accred Products, LLC.
These Terms and any dispute or claim arising out of or related to these Terms or use of the Site (excluding disputes governed by a specific engagement agreement) shall be governed by and construed in accordance with the laws of the United States and applicable state law, without regard to its conflict of law provisions.
Before initiating any formal legal proceeding, you agree to first contact us at [email protected] and provide a written description of the dispute, the relief sought, and your contact information. We will make a good-faith effort to resolve the dispute informally within 30 days of receiving your notice.
If the dispute cannot be resolved informally, either party may pursue any available legal remedies. Disputes relating to specific consulting engagements are governed by the dispute resolution provisions of the applicable proposal or SOW, which may include binding arbitration or other agreed procedures.
Any claim or cause of action arising out of or related to use of the Site or these Terms must be filed within one (1) year after the claim or cause of action arose, or it will be forever barred.
The Site may contain links to third-party websites or resources. These links are provided for convenience only. We do not endorse, control, or assume responsibility for the content, policies, or practices of any third-party websites. Your use of third-party sites is at your own risk and subject to their respective terms and policies.
You agree to indemnify, defend, and hold harmless Accred Products, LLC and its members, managers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of or access to the Site; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any information or content you submit through the Site.
We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page. Your continued use of the Site following the posting of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, please discontinue your use of the Site.

If any provision of these Terms is found to be invalid, unlawful, or unenforceable under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, without affecting the validity or enforceability of the remaining provisions.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Accred Products, LLC with respect to your use of the Site. They supersede any prior or contemporaneous agreements, representations, or understandings relating to Site use. With respect to professional consulting engagements, the applicable signed proposal or SOW, along with any applicable agreement, constitutes the entire agreement for that engagement.
